CGV (general terms of sale)

In plain words: we work with businesses, on a quote followed by an invoice. No online payment on this website, no commitment on subscriptions. The rest is written below, with no small print.
1. Who is selling
The services are sold by Guilain Charrier, entrepreneur individuel (sole trader) under the French micro-entreprise regime, trading under the business name Déléguix.

2. Who these CGV are for
Our services are intended exclusively for businesses and professionals; by placing an order, the client declares that it is acting in the course of its business activity (tradespeople, shopkeepers, regulated professions, small and medium-sized businesses, associations acting for their activity). The rules of the French Code de la consommation (consumer code), including the right of withdrawal and consumer mediation, therefore do not apply.
3. Purpose and acceptance
These conditions générales de vente (CGV, general terms of sale) govern all the services sold by Déléguix. They are attached to every quote and remain available at any time on this page. Accepting a quote or placing an order means accepting these CGV in full. They prevail over any other document, including the client's own purchasing terms. Services for large accounts are covered by a specific contract, negotiated case by case, which replaces these CGV.
4. The services
Déléguix takes over, on the client's behalf, tasks that come back every day: replying to reviews, following up quotes, appointment reminders, replying to messages, chasing invoices, online presence, and the other services presented on the website. Déléguix also offers graphic and web creations (the Studio) and one-off set-ups. The exact scope is agreed with the client at the start and written on the quote.
5. Prices
Price list in force on 21 September 2026. Prices in euros, TVA (French VAT) not applicable (article 293 B of the CGI). The price that applies is the one written on the accepted quote.
Monthly subscriptions
- Essentiel: 99 €/month (1 service)
- Duo: 179 €/month (2 services)
- Croissance: 339 €/month (4 services)
- Avancé: 479 €/month (6 services)
- Autonomie: 699 €/month (10 services)
- Free composition: the grid follows the number of services chosen, 1 service 99 €, 2: 179 €, 3: 259 €, 4: 339 €, 5: 409 €, 6: 479 €, 7: 539 €, 8: 599 € (Performance), 9: 649 €, 10: 699 € per month
- Le Bureau: 329 €/month (quotes, appointments, messages and unpaid invoices, handled as one)
A single service on its own is available from 99 €/month. Setting the service up is included in the subscription, except for the services whose page states a one-off set-up fee (150 € or 200 € depending on the service).
Set-up only (no subscription)
From 900 €, paid in one go, on a quote. Covers the set-up on your accounts, a training session and 30 days of adjustments.
Studio (creative work, paid once)

- Visuals (flyer, brochure, posts): 40 € per item, or 120 € for the pack
For a website, the domain name and the hosting are taken out by the client with the providers of its choice and are not included in the price.

Discounts
No discount is applied outside this price list, unless stated in writing on the quote.
6. The order
Everything starts with a conversation, then a written quote, valid for 30 days. The order is firm once the client returns the accepted quote (signed, or agreed in writing by email). No payment is requested online on this website.
7. Invoicing and payment
- Subscriptions: each month is invoiced at the start of the month, in advance. The invoice is payable 30 days from the invoice date.
- Set-up only: invoiced when the order is placed, payable 30 days from the invoice date.
- Studio: paid in one go, when the order is placed. The invoice is issued when the quote is accepted, and the work starts once payment is received.
- Large accounts: as set out in the specific contract.
Payment by bank transfer, to the account shown on the invoice. No discount is granted for early payment.
Late payment. Any amount unpaid on its due date bears, with no reminder being required, late-payment penalties at a rate equal to three times the French legal interest rate, calculated on the outstanding amount, from the day after the due date until full payment. In addition, a fixed recovery-cost indemnity of 40 € is due for each unpaid invoice (articles L441-10 and D441-5 of the French Code de commerce). If the recovery costs actually incurred exceed that amount, Déléguix may claim additional compensation on supporting evidence. Déléguix may also suspend the current service after a reminder has remained unanswered for 7 days, without this amounting to termination.
8. Term and ending a subscription
The subscription carries no commitment and renews every month. The client may stop it at any time by email to contact@deleguix.fr. No notice period: the service ends at the end of the current month, and no further month is invoiced. The month already started remains due and is not refunded. Déléguix may also end the subscription with one month's notice, or without notice in the event of a serious breach by the client (access refused, invoice unpaid despite a reminder, unlawful use).
9. Set-up only
For some services that can run on their own, Déléguix offers a one-off set-up, without a subscription. It covers the set-up on the client's accounts, a training session and 30 days of adjustments. After those 30 days, the client runs it alone: no warranty and no support are included, unless the client takes out an optional maintenance plan.
10. Studio: delivery and rights on the creations
How it goes. The client describes the need, Déléguix proposes several directions, the client picks one, we fine-tune it together (two rounds of corrections, unless the quote says otherwise), then the files are delivered in the useful formats. Beyond that, further corrections are invoiced on a quote. The client provides the necessary material (text, photos, access) and warrants that it holds the rights to it.
Assignment of rights. Once the price has been paid in full, Déléguix assigns to the client, on an exclusive basis, the economic copyright (droits patrimoniaux d'auteur) on the delivered creations (logo, visual identity, website, visuals): the right of reproduction (copying, printing, duplicating on any medium), the right of representation (displaying, publishing, broadcasting, including online and on social networks) and the right of adaptation (modifying, declining, translating, integrating into other creations). This assignment covers all media and all uses known to date connected with the client's activity, for the whole world and for the entire legal term of copyright protection. The source files (vector files, mock-ups, website code) are handed over with the delivery. The price of this assignment is included in the price of the service.
Until full payment, the creations remain the property of Déléguix and the client may not use them. Fonts, images and other elements licensed from third parties remain subject to their own licences, which are indicated to the client. Déléguix keeps the right to cite and show the work as a reference (website, portfolio, social networks), unless the client objects in writing, which it may do at any time.
11. What Déléguix undertakes to do
Déléguix uses the resources needed to perform the service properly, in line with the règles de l'art (accepted professional standards), and keeps you informed of what is done. Déléguix is bound by an obligation de moyens (an obligation to use its best efforts, not to achieve a given result): outcomes (rating, number of appointments, quotes signed) also depend on your activity, your customers and third-party tools, and are not guaranteed.
12. What the client undertakes to do
The client provides the access rights and the information needed (Google profile, diary, mailbox, contacts, and so on) and warrants that it is legitimately entitled to them. It remains responsible for the relationship with its own customers and for all final decisions. Messages sent in its name are sent under its responsibility. It informs Déléguix without delay of any relevant change (opening hours, offers, access).
13. Personal data
In the course of the services, Déléguix may process personal data on behalf of the client (the client's own customers). In that case Déléguix acts as a sous-traitant (processor) within the meaning of the RGPD (GDPR), processes that data only on the client's instructions, keeps it secure and deletes it at the end of the service, unless a legal obligation requires otherwise. For large accounts, that processing is covered by a separate data processing agreement, compliant with Article 28 of the RGPD (GDPR), which prevails over this clause. The client's own data (contact, invoicing) is processed as described in the privacy policy.
14. Liability
Déléguix's liability, on any ground, is limited to the amount paid by the client for the month concerned or, for a one-off service, to the price of that service. Déléguix is not liable for indirect damage (loss of revenue, customers or reputation), nor for the consequences of an outage, a change or a decision by a third-party tool (Google, email, diary, social networks), nor for information provided by the client. Neither party is liable for a delay or a failure to perform caused by force majeure.
15. Complaints
A question, a disagreement? Write to contact@deleguix.fr: we reply and look for an amicable solution first. Because these CGV are addressed to businesses, the rules on médiation de la consommation (French consumer mediation) do not apply.
16. Changes to these CGV
Déléguix may update these CGV and its price list. The version that applies is the one in force on the date of the quote. For a running subscription, any change in price or terms is announced by email at least one month in advance, and the client may stop its subscription free of charge if it does not accept the change.
17. Governing law and competent court
These CGV are governed by French law. Failing an amicable settlement, the competent court is the one for the place where Déléguix has its registered office, subject to mandatory rules of public policy.
